Kaper II Terms of Service & Terms of Sale

  1. Agreement to Terms

This website (the “Site”) is operated by Kaper II, Inc. (“Kaper II,” “we,” “our,” or “us”).

By accessing the Site or placing an order, you agree to these Terms of Service and Terms of Sale (“Terms”). These Terms govern all purchases, transactions, and use of the Site.

  1. Business Use & Customer Qualification

Kaper II primarily serves:

  • Distributors
  • OEM manufacturers
  • Contractors and commercial buyers

We reserve the right to:

  • Approve or deny account registration
  • Require business verification
  • Limit or restrict sales at our discretion
  1. Account Responsibility

You agree to:

  • Maintain accurate account and billing information
  • Safeguard login credentials
  • Accept responsibility for all activity under your account

Kaper II is not liable for unauthorized account use.

 

  1. Orders & Acceptance
  • All orders are subject to review and acceptance
  • Kaper II may cancel, limit, or modify orders at any time
  • Orders may ship when 90% complete unless otherwise requested
  • Verbal, written, and electronic orders are binding once accepted
  1. Pricing & Market Protection
  • Prices are subject to change without notice
  • Kaper II reserves the right to correct pricing errors
  • Distributor and customer pricing structures may vary

Kaper II reserves the right to:

  • Protect channel pricing integrity
  • Adjust pricing to maintain market competitiveness
  • Refuse orders that disrupt established pricing structures
  1. Payment Terms & Credit Policy

Credit Approval

  • Credit accounts require application and approval
  • Trade references may be required
  • Prepayment required until credit is established

Open Terms

  • Standard terms: Net 30 days
  • Past due balances incur 1.5% per month (18% annually)

Credit Control

Kaper II reserves the right to:

  • Adjust or revoke credit at any time
  • Place accounts on hold for delinquency
  • Require prepayment

International Orders

  • Prepaid unless otherwise approved (Canada eligible for terms)
  1. Freight, Shipping & Risk Allocation

Freight Terms

  • Orders $1500+ ship freight prepaid (continental U.S.)
  • Orders under $1500 ship F.O.B. Longview, WA (Prepay & Add)

Shipping Standards

  • Orders ship within 48 hours when available
  • Expedited cutoff: 2:30 PM PST
  • Partial shipments allowed unless otherwise specified

Risk Transfer

  • Title and risk transfer upon shipment

Freight Claims

  • Must be reported within 48 hours of receipt
  • Customer is responsible for carrier claims
  1. Backorders & Supply Conditions
  • Backorders may be held or canceled at customer request
  • Prepaid backorders ship prepaid
  • Kaper II may cancel backorders older than 6 months

Kaper II is not liable for delays due to:

  • Supply chain disruption
  • Manufacturing constraints
  • Carrier delays
  1. Returns, RMA & Restocking

RMA Requirement

  • All returns require a Return Material Authorization (RMA)
  • Unauthorized returns will be refused

Return Conditions

  • Must be resalable
  • Must be shipped prepaid

Stock Returns

  • Subject to 20% restocking fee
  • Limited to 5% of prior year purchases
  • Credit issued only (no refunds)
  1. Warranty Policy (Commercial Grade)

General Terms

  • Applies to original purchaser only
  • Covers defects in materials and workmanship
  • Excludes misuse, improper installation, modification, or wear
  • Limited to repair or replacement only
  • No labor reimbursement

Coverage Highlights

  • LED Exterior Lighting: 5 years
  • Wiring Harnesses: 3 years
  • Interior LED Products: 1 year
  • Off-Road Lighting: 1 year
  • Chrome Products: 6 months
  • Steering Wheels: 6 months
  • Stainless Accessories: 5 years

Warranty Authority

All warranty determinations are made by Kaper II Quality Assurance.

  1. Product Use, Compliance & Liability Shield

Kaper II products are designed for professional installation and use.

Customers agree:

  • Products will be installed properly
  • Installations will comply with DOT, NEC, and local codes
  • Products will be used only as intended

Kaper II is not liable for:

  • Improper installation
  • Code violations
  • Misuse or modification
  • Indirect damages or system failures
  1. Intellectual Property

All product data, images, specifications, and branding are owned by Kaper II.

Unauthorized use, reproduction, or distribution is prohibited.

  1. Digital Use & Site Conduct

You may not:

  • Scrape or copy product data
  • Interfere with site performance
  • Attempt unauthorized access
  1. Disclaimer of Warranties

Except as expressly stated:

  • All products are provided “as is”
  • No implied warranties apply
  1. Limitation of Liability

To the maximum extent permitted by law:

Kaper II shall not be liable for:

  • Lost profits
  • Business interruption
  • Indirect or consequential damages

Maximum liability = amount paid for product

  1. Force Majeure

Kaper II is not liable for failure or delay caused by:

  • Natural disasters
  • Supply chain disruptions
  • Labor shortages
  • Government actions
  • Transportation issues
  1. Termination & Account Control

Kaper II may:

  • Suspend or terminate accounts
  • Refuse service
  • Cancel orders

At its sole discretion.

  1. Governing Law

These Terms are governed by the laws of the State of Washington.

  1. Changes to Terms

Kaper II may update these Terms at any time. Continued use constitutes acceptance.
